Agent Install - Pending Mangement

Hi Team

I have and management server in one office, and an exchange server in another office at different geographic location. I need Exchange server to be monitored using SCOM agent. The operations manager agent installation locally is successful however server does not show up on Pending management screen or Agent Managed screen in SCOM administration screen. Last error message in log file shows: 11:10:42 AM : CServiceModule::SetServiceStatus : State: 1, Error: 0 (servernameMOMAgentMgmt.log)

MSI (s) (64:60) [11:08:20:324]: Windows Installer installed the product. Product Name: System Center 2012 - Operations Manager Agent. Product Version: 7.0.9538.0. Product Language: 0. Manufacturer: Microsoft Corporation. Installation success or error status: 0. (servernameAgentInstall.log) 

I have tried to manually install the agent, locally. This worked however I still cannot see the server in Pending management screen. I have set security to show manual agent installations, on review mode. I checked on the server c:\programfiles\....\Connector Configuration Cache is empty. The management group folder comes up but no xml file within the folder shows. 

Port 5723 is opened in far site. I have uninstalled agent locally, reinstalled with admin profile as well as scom account. 

Any other reason why this will not work? both automated install from within scom or manually?
